Search Nebraska LLC, Corporation, Trade Name & Business Records
The Nebraska Secretary of State provides a free Corporate & Business Search covering registered business entities, trade names, trademarks and service marks.
You can search by several name-matching methods or by the Secretary of State Entity Account Number, then use the correct record for status checks, filed-document purchases, Certificates of Good Standing and follow-up filings.
Best first search: use Name Starts With when you know the beginning of the legal name, or use the Keyword search when you know only distinctive words.
Exact lookup: use the Nebraska Secretary of State Entity Account Number when you already have it from a prior search, filing or certificate.
Name availability is different: the public business search is not Nebraska’s formal name-availability determination. The Secretary of State currently requires a written name-availability request by email, fax or mail.
How to Search Nebraska Business Entities
Nebraska’s search gives you more matching options than a typical state registry, but you must choose the search method before entering the name.
- Open the official Nebraska Corporate & Business Search.
- Select the search method that fits the information you have.
- Enter at least three letters for a name search, or enter the Secretary of State Entity Account Number.
- Complete the required reCAPTCHA.
- Select Perform Search.
- Review the matching records and open the entity that fits your business name, type and status.
- Save the account number before ordering a certificate, purchasing documents or contacting Business Services.
Which Nebraska Search Option Should You Use?
| Search option | Best use | How it behaves |
|---|---|---|
| Name Starts With | You know how the legal name begins. | Returns names beginning with the letters or words entered. Nebraska requires at least three letters. |
| Keyword — Match All Words | You know several words from the name but not their exact order. | All entered keywords must appear somewhere in the business name. |
| Keyword — Match Any Word | Your information is incomplete or the name may be longer than you remember. | Returns names containing any of the entered words and can produce a broad result list. |
| Name Sounds Like | You are unsure of spelling. | Uses a broad phonetic-style search and may return many results. |
| Name Exact Match | You know the complete registered name. | Nebraska requires the full entity name, including corporate endings such as LLC or Inc. |
| Account Number | You already know the state entity identifier. | Searches the Secretary of State Entity Account Number rather than the name. |
What the Nebraska Business Search Is Useful For
Entity verification
- Confirm that an entity appears in Nebraska records.
- Compare similar entity names.
- Check the business type and current status shown by the state.
- Save the state account number for exact future lookup.
Follow-up records
- Order a Certificate of Good Standing when available.
- Purchase images of filed documents when available online.
- Review trade-name, trademark and service-mark records.
- Move from search to the correct filing or reporting service.
Nebraska Business Name Availability Is a Separate Process
Finding no exact match in the public database does not give you a formal Nebraska name-availability decision.
The Secretary of State currently requires corporate entity name-availability inquiries to be submitted in writing:
- Email: sos.corp@nebraska.gov
- Fax: 402-471-3666
- Mail: Nebraska Secretary of State, Business Services Division, P.O. Box 94608, Lincoln, NE 68509-4608
- Run the public Corporate & Business Search first.
- Try Starts With, Keyword and Sounds Like searches for similar names.
- Email or otherwise submit a written availability inquiry to Business Services.
- Wait for the state’s written response before spending heavily on signs, branding or printed materials.
- Remember that even the courtesy availability response is not a final filing guarantee; final approval occurs when the Secretary of State reviews the actual filing.
Current Nebraska guidance lists a $30 name-reservation fee. An approved reservation holds the requested entity name for 120 days.

Nebraska Annual & Biennial Report Schedule
Nebraska does not put every entity on the same annual filing cycle. Corporations, LLCs, nonprofits and LLPs follow different schedules.
| Entity type | Normal filing schedule | Delinquent after | Important fee note |
|---|---|---|---|
| Business / professional corporation | Even-numbered years; due March 1 | April 15 | Nebraska uses a biennial occupation-tax report; the amount can depend on corporate capital or property values rather than one flat fee. |
| LLC / professional LLC | Odd-numbered years; due April 1 | June 16 | Current Nebraska LLC law generally sets filings at $25 electronically or $30 in writing; the current paper biennial-report form lists $30. |
| Nonprofit corporation | Odd-numbered years; due April 1 | June 16 | The current Secretary of State paper biennial-report form lists a $30 filing fee. |
| Limited Liability Partnership | Every year; due April 1 | June 16 | Check the live filing service for the current report amount before submitting. |
| Nebraska Benefit Corporation | Annual benefit report within 120 days after fiscal year end | Follow the entity-specific filing requirement | Current fee schedule lists $25 online or $30 in-office for the annual benefit report. |

Certificates of Good Standing & Filed Documents
Once you have confirmed the correct entity, Nebraska’s current search system can sell a Certificate of Good Standing and available images of filed documents.
| Service | Current price / timing | What to know |
|---|---|---|
| Online Certificate of Good Standing | $6.50; immediately available to view/print | Includes the State Seal, Secretary of State signature and verification ID. |
| Paper Certificate of Good Standing | $10; mailed in about 2–3 business days | Physical certificate with State Seal and Secretary of State signature. |
| Online filed-document image | $0.45 per page when available in the legacy search | A purchase link and page count appear when the document image is available online. |
| Secretary of State record copy | $1 per page; certificates with seal $10 | This is the office records fee schedule rather than the discounted online image price. |
- Search the entity and confirm the exact account number.
- Open the correct organization rather than purchasing from a similar name.
- Check whether the needed filing image is already available online.
- Ask the receiving party whether it needs a plain copy, certified copy or Certificate of Good Standing.
- If the certificate will be used outside the United States, contact Business Services first; Nebraska says certificates obtained online cannot be apostilled or authenticated.
Why the Nebraska Registered Agent Matters
Nebraska requires registered businesses to maintain a registered agent. The agent can be a Nebraska resident or another business entity authorized to transact business in Nebraska.
- The registered agent’s office must be identical to the registered office.
- The agent can be a member of the business or a qualifying third party.
- Biennial or annual filing notices are sent to the registered agent.
- Outdated registered-agent information can cause the business to miss reporting notices.
- Failure to maintain an agent can result in administrative dissolution.
Open Nebraska’s registered-agent update guidance.
- Select the correct entity type.
- Download the applicable change form.
- Complete and sign the form.
- Use Corporate Document eDelivery when that entity type supports online submission.
- Watch for the Secretary of State’s email confirming approval.
Nebraska Has Publication Rules Many States Do Not
If the user is searching because they plan to form an entity or register a trade name, Nebraska has publication requirements that are easy to overlook.
New Nebraska LLC
Nebraska Revised Statute §21-193 requires a notice of organization to be published for three successive weeks in a legal newspaper of general circulation near the LLC’s designated office.
Proof of publication must then be filed with the Secretary of State.
Nebraska trade name
After a trade name is registered, Nebraska requires one legal notice in an appropriate newspaper.
The notarized Affidavit of Publication must reach the Secretary of State within 45 days after the trade-name registration date, or the registration is canceled.
If a Nebraska Business Is Inactive or Administratively Dissolved
Start with the entity search to identify the current status, then use Nebraska’s reinstatement guidance for the correct entity type.
Standard reinstatement
The current fee schedule lists a $30 Application for Reinstatement for many corporations, nonprofits and domestic LLCs, with overdue report fees or other amounts potentially due in addition.
Late reinstatement
Except for LLPs, entities inactive in the Secretary of State’s records for more than five years may be eligible for late reinstatement. The current late-reinstatement fee is $500, with additional back-report fees and interest potentially due.
Open Nebraska reinstatement instructions.
- Search the business and confirm its exact status and account number.
- Identify whether the entity is a domestic corporation, foreign corporation, domestic LLC, foreign LLC, nonprofit or LLP.
- Follow only the reinstatement instructions for that specific entity type.
- Contact sos.corp@nebraska.gov when the Secretary of State directs you to request forms or a fee worksheet.
- After processing, search the business again; Nebraska says a successfully reinstated entity will display as Active and can then obtain a Certificate of Good Standing.
Common Nebraska Business Search Problems
| Problem | Best next step |
|---|---|
| No result for the full name | Use Starts With or Keyword search and remove LLC, Inc., Corporation and other endings. |
| Name may be misspelled | Try Name Sounds Like. |
| Too many keyword results | Switch from Match Any Word to Match All Words or use Starts With. |
| You know the state number | Use Account Number instead of a name search. |
| You want to know whether a proposed name is available | Do not rely solely on the business search. Submit a written availability request to Business Services. |
| A document image is missing | Older documents and files longer than 40 pages may not be available online; contact Business Services. |
| The page or filing portal looks different | Nebraska is transitioning to a new filing system in late 2026. Start from the official Corporate & Business hub rather than an old bookmark. |

Nebraska Business Entity Search FAQ
1. Is the Nebraska business entity search free?
Yes. The Nebraska Secretary of State describes its Corporate & Business Search as a free public search. Fees apply when you purchase certificates, document images or submit filings.
2. What can I search in the Nebraska SOS business database?
The official database covers registered entities, trade names, trademarks and service marks. Search methods include Starts With, Keyword Match All, Keyword Match Any, Sounds Like, Exact Match and Secretary of State Entity Account Number.
3. What is a Nebraska Secretary of State Entity Account Number?
It is the state identifier used for an entity record. If you already know the account number, use it instead of a name search to reach the specific state record more directly.
4. Can I use the Nebraska business search to confirm that a new name is available?
Not formally. Nebraska currently requires corporate name-availability inquiries to be submitted in writing by email, fax or mail. The public business search is useful screening but is not the state’s final name-availability decision.
5. When does a Nebraska LLC file its biennial report?
Domestic and foreign LLCs generally file in odd-numbered years by April 1. The report becomes delinquent June 16. Nebraska’s current LLC fee statute generally sets electronic filings at $25 and written filings at $30.
6. When does a Nebraska corporation file its biennial report?
Domestic and foreign business and professional corporations file biennial occupation-tax reports in even-numbered years by March 1. They become delinquent April 15.
7. How much is a Nebraska Certificate of Good Standing?
The current legacy online system lists an immediately printable online Certificate of Good Standing at $6.50. A physical paper certificate is $10 and is normally mailed within about two to three business days.
8. Does a Nebraska LLC have a newspaper-publication requirement?
Yes. Nebraska law requires an LLC notice of organization to be published for three successive weeks in a legal newspaper of general circulation near the designated office, followed by filing proof of publication with the Secretary of State.
9. What happens if a Nebraska entity misses its required report?
Nebraska states that failure to file by the delinquency date can cause administrative dissolution or revocation of authority. Reinstatement requirements and fees depend on the entity type and how long it has been inactive.
10. Is Nebraska changing its business search and filing system?
Yes. The Secretary of State says a new Online Business Filing System is expected before the end of the 2026 calendar year. Users should start from the official Corporate & Business page if an older bookmarked search or filing link changes.
