Colorado Periodic Reports: Deadline, Filing Window & Fee
Colorado reporting entities—including LLCs, corporations, nonprofit corporations and many foreign entities—must file a Periodic Report every year. The report keeps public information such as the principal office and registered-agent details current.
Find your report month
Open the entity’s Summary page and look for Periodic report month.
Colorado allows the Periodic Report to be filed two months before the report month or two months after it without a penalty.

Colorado Good Standing Certificates & Certified Copies
Colorado defines Good Standing as meeting the statutory filing requirements with the Secretary of State. The office does not independently verify the accuracy of submitted business information or regulate the company’s operations.
Certificate of Good Standing
Available when the entity is in Good Standing. The certificate reflects the record’s status when the certificate was created.
A recipient may still require a recently issued certificate, such as one dated within its own 30- or 60-day acceptance window.
Certified copies
Use certified copies when a bank, court, lender, government agency or transaction requires official copies of filed Colorado documents.
For ordinary research, the filing history may be enough without ordering anything else.

Trade name is different from entity formation
A Colorado trade name identifies a name used in business activity; registering a trade name does not by itself create a separate LLC or corporation.

Colorado Registered-Agent Rules Changed July 1, 2025
Colorado strengthened registered-agent verification requirements in 2025. This matters when forming an entity, changing an agent or reviewing why a filing cannot be completed.
Individual registered agent
- Must be at least 18 years old.
- Must have a primary residence or usual place of business in Colorado.
- Colorado residency is verified through a current Colorado ID/driver license or the state’s alternative address-verification process.
- The registered agent must consent to the appointment.
Entity registered agent
- Must be registered with the Colorado Secretary of State.
- Must be in Good Standing.
- Must have a usual place of business in Colorado.
- Cannot simply use a commercial mailbox or P.O. box as the required physical street address.
What to Do if a Colorado Entity Is Delinquent
Colorado states that a reporting entity becomes Delinquent when a required Periodic Report is not filed. Problems involving registered-agent compliance can also affect standing.
