Kentucky “Status” and “Standing” Are Not the Same Field
This distinction is easy to miss. The Secretary of State’s own business-record FAQ explains that an inactive entity may still be in either good or bad standing.
Inactive + bad standing
Kentucky says this can occur when an entity failed to file an annual report or when its registered agent resigned and a replacement was not appointed.
Inactive + good standing
An entity may be inactive but remain in good standing because it dissolved voluntarily, changed its name or merged into another entity.
Checking a Kentucky Business Name Before Filing
Kentucky has a separate Name Availability Search. The official tool accepts a business name or organization number and requires at least four characters for a name search.
The Secretary of State makes clear that name availability is first come, first served. A name that appears available during your search is not guaranteed to remain available until the filing is accepted.

Kentucky Annual Report: Deadline, Fee & What You Confirm
Registered entities required to file an annual report can submit it between January 1 and June 30. The current Secretary of State fee is $15.

Kentucky Assumed Names / DBAs
Kentucky calls a DBA an assumed name. The current Secretary of State filing fee for a Certificate of Assumed Name, amendment, withdrawal or renewal is $20.
Five-year registration term
An assumed-name registration filed with the Secretary of State is effective for five years and can be renewed for another five-year term.
Renewal window
The renewal certificate can be filed during the six months before expiration. The Secretary of State is not required to send a renewal reminder, so the business should track its own deadline.

Kentucky Registered Agent Rules
Every registered business entity must maintain a registered agent and registered office in Kentucky for service of process.
- The registered office must have a Kentucky street address or other specific physical location; a P.O. box alone is not sufficient.
- The registered agent can be a qualifying Kentucky resident or an eligible business entity authorized to act in Kentucky.
- The registered agent’s address must match the registered office.
- The registered agent must consent to the appointment.
- The company being formed cannot act as its own registered agent.

Bad Standing, Administrative Dissolution & Reinstatement
If a domestic Kentucky entity is administratively dissolved, the Secretary of State provides a reinstatement process. The current fee schedule lists a $100 reinstatement penalty after administrative dissolution, in addition to delinquent filing fees that may be due.
