Search Puerto Rico Corporation & LLC Records
The Puerto Rico Department of State administers the public Registry of Corporations and Entities for domestic and foreign corporations, LLCs and other legal entities authorized to operate in Puerto Rico.
The public search accepts either a Número Registro (registration number) or Nombre Corporación (entity name). Once you find the correct record, save the registration number before checking annual filings, resident-agent information or certificates.
Fastest lookup: search by registration number when you have it. For a name search, begin with the strongest distinctive words rather than a long legal name.
Search limit: the official registry states that results are limited to 250 records. If a broad name returns too many matches, narrow the wording rather than assuming the entity is missing.
Corporation vs. LLC: Puerto Rico corporations generally file an annual report by April 15. LLCs do not file that annual report with the Department of State; instead, they pay annual rights of $150 by April 15.
How to Search Puerto Rico Business Records
The public registry is simple, but broad names can produce many results. Use the registration number whenever possible.
- Open the official Registry of Corporations and Entities search.
- Choose Número Registro if you know the entity’s registration number, or Nombre Corporación if you are searching by name.
- Enter the strongest available identifier and run the search.
- If a name search is too broad, shorten it to the most distinctive words.
- Open the matching entity and compare its registration number, entity type, status and resident-agent information.
- Save the registration number before filing an annual report, paying LLC annual rights or ordering a certificate.

Puerto Rico Resident-Agent Requirements
A resident agent is the person or legal entity designated to receive service of process and other official documents for the corporation.
Who may serve
Puerto Rico corporate law permits the corporation itself, an individual resident of Puerto Rico, or an eligible legal entity to serve as resident agent.
Puerto Rico presence matters
The resident agent must be domiciled in Puerto Rico. A foreign legal entity serving as agent must be authorized to do business in Puerto Rico and maintain the required designated office.
When verifying a company for a contract or legal notice, compare the resident-agent information shown in the official record with the entity’s registration number and designated office.
Foreign Corporations Doing Business in Puerto Rico
A foreign corporation is formed under another jurisdiction but seeks authorization to do business in Puerto Rico. The Department of State lists several items required for authorization.
- A certificate of existence or equivalent from the home jurisdiction that is generally no more than three months old.
- The name and address of a resident agent in Puerto Rico.
- Information concerning assets and liabilities.
- The corporation’s business purpose in Puerto Rico.
- Names and business addresses of current directors.
- Any additional information required for publication in the registry.
Registro de Personas Jurídicas: Why This Is a Separate Puerto Rico Registry
Puerto Rico created the Registro de Personas Jurídicas on June 2, 2022 under the Civil Code. Entities created on or after that date that fall within the Civil Code requirement must register, while entities created before that date are encouraged—but not generally required—to do so under the Department’s current guidance.
Open the official Registro de Personas Jurídicas guidance.
- You are dealing with a legal person subject to the Civil Code registration requirement.
- The entity was created on or after June 2, 2022.
- You need to understand whether the separate legal-person registry applies in addition to another special-law registry.
Department of State Registration Is Not the Same as SURI Merchant Registration
A Puerto Rico corporation or LLC record is maintained by the Department of State. The Registro de Comerciante and related tax accounts are handled separately by the Puerto Rico Department of Treasury through SURI.
Department of State
- Corporation and LLC registration
- Entity status
- Resident agent
- Annual reports / LLC annual rights
- Corporate certificates
SURI / Hacienda
- Merchant registration
- Merchant Registration Certificate
- Business locations and activities
- Tax accounts and filings
- Certificate and license validation services
Common Puerto Rico Corporation & LLC Fees
Fees differ sharply by entity type. Confirm the exact filing before paying.

Common Puerto Rico Business Search Problems
| Problem | Likely reason | Best next step |
|---|---|---|
| No result by name | The legal name differs from the brand or search wording. | Search fewer distinctive words and try common Spanish/English variations when relevant. |
| Too many results | The search term is broad and the registry caps results. | Use a more distinctive word or the exact registration number. |
| You know only the resident agent | The basic search does not provide an agent-name field. | Identify the likely entity name first, then inspect its registry record. |
| Company claims to be current but status is unclear | An annual report or LLC annual-rights obligation may be outstanding. | Check the entity record and request a current compliance certificate if formal proof is needed. |
| Need tax / merchant proof | The Department of State registry is not the Hacienda merchant registry. | Use SURI or the appropriate Puerto Rico Department of Treasury service. |
| Entity is from another jurisdiction | You are viewing its Puerto Rico foreign authorization rather than its original formation record. | Compare the Puerto Rico record with the entity’s home-state registry. |

Puerto Rico Business Entity Search FAQ
1. Is the Puerto Rico business entity search free?
Yes. The Department of State provides a public Registry of Corporations and Entities search. Fees apply to filings, annual reports, LLC annual rights, certificates and other paid services.
2. Where do I search for a Puerto Rico corporation or LLC?
Use the official Puerto Rico Registry of Corporations and Entities. The basic search includes Número Registro and Nombre Corporación fields.
3. Can I search by Puerto Rico registration number?
Yes. Número Registro is the best exact-search option when you already have the entity’s registration number from a certificate, filing, contract or previous lookup.
4. Why does the Puerto Rico business search show a 250-record limit?
The registry limits displayed results to 250 records. Use a more distinctive entity-name term or the exact registration number when a broad search produces too many matches.
5. When is a Puerto Rico corporation annual report due?
Corporations generally must file their annual report with the Department of State on or before April 15 each year, subject to applicable statutory exceptions such as nonprofit religious corporations.
6. Do Puerto Rico LLCs file annual reports?
No. Current Department of State guidance says LLCs do not file the corporation annual report. Instead, they pay annual rights of $150 by April 15, or the next business day when applicable.
7. How much is a Puerto Rico Certificate of Compliance?
The current forms page lists $15 for a for-profit corporation compliance certificate, $0 for an eligible nonprofit compliance certificate and $20 for an LLC compliance certificate.
8. Who can serve as a Puerto Rico resident agent?
A corporation may use itself, an individual resident of Puerto Rico or another eligible legal entity. A foreign legal entity serving as resident agent must be authorized to do business in Puerto Rico and maintain the required Puerto Rico presence.
9. Is the Registro de Personas Jurídicas the same as corporation or LLC formation?
No. Puerto Rico’s Department of State says that registry is not constitutive for entities created under special laws, including corporations and LLCs. It is a separate Civil Code registration system created in 2022.
10. Does a Puerto Rico Department of State entity record prove merchant registration or tax compliance?
No. Merchant registration and tax matters are handled separately by the Puerto Rico Department of Treasury through SURI. Professional licenses, permits and other regulatory approvals may also require separate verification.
Best Way to Use the Puerto Rico Registry
Search by registration number whenever possible. If you search by name, narrow broad results until you can confirm the correct entity, then save its Número Registro before doing anything else.
After that, check the right compliance path: corporations generally file annual reports by April 15, while LLCs pay $150 in annual rights instead. Use Department of State certificates for formal entity proof and SURI separately when merchant or tax registration matters.
