Search Pennsylvania LLC & Corporation Records
Pennsylvania’s Department of State Business Filing Services database lets you search registered LLCs, corporations, limited partnerships, fictitious names and other business records by business name or entity/file number.
Use the search first, save the exact File Number, review filing history and annual-report compliance, then order certificates or copies only when formal proof is actually required.
Fastest lookup: search the legal business name in Business Filing Services. If you already have the old Entity Number or current File Number, use that for a cleaner exact match.
Important search limitation: Pennsylvania DOS says its records are accessed by correct entity name or entity number—not by owner/officer name, business address, tax ID, Federal EIN, phone number or business type.
Important 2026 compliance point: Pennsylvania’s annual-report requirement started in 2025. For-profit entities generally pay only $7, and the Department warns businesses that there is currently no state late fee for filing after the deadline.
How to Search Pennsylvania Business Records
Pennsylvania’s search works best when you begin with a clean business name and then open the full result. Do not waste time entering an owner’s name or tax number—the DOS database is not indexed that way.
- Open the official Business Filing Services Business Search.
- Enter the business name or Entity/File Number.
- If the full legal name does not work, search only the strongest distinctive words.
- Open the matching result rather than relying on the short result row.
- Confirm the exact business name, File Number, business type, status and filing date.
- Use result-page actions such as View Filing History or Request Certificate only when needed.
Entity Number vs File Number in Pennsylvania
Pennsylvania Business Hub explains that Entity Number is the legacy identifier used under PennFile. When the Department moved to Business Filing Services, the identifier became the File Number.
| Term | What it means | What users should do |
|---|---|---|
| Entity Number | Legacy PennFile identification number. | Older records or documents may still use this wording. |
| File Number | Current Business Filing Services terminology. | Save the number shown next to the business name in BFS. |

Pennsylvania Annual Reports: 2026 Deadlines, Fee & Filing Steps
Beginning in 2025, most domestic and registered foreign filing associations must file an annual report. The old decennial-report system for these entities has been repealed.
| Association type | Annual filing window | Current fee |
|---|---|---|
| Business and nonprofit corporations | January 1 – June 30 | $7 for for-profit; $0 for nonprofit |
| Domestic and foreign LLCs | January 1 – September 30 | $7, or $0 for qualifying not-for-profit LLCs |
| LPs, LLPs, business trusts & professional associations | January 1 – December 31 | $7 for covered for-profit entities; qualifying not-for-profit LPs are $0 |
- Open Business Filing Services and create an account if needed.
- Log in and search for the company under Business Search.
- Select the Annual Report action. Pennsylvania says no PIN is required for the annual report.
- Review the pre-populated entity information and update the required current information.
- Pay the applicable fee by credit card.
- After online processing, download the filed report and acknowledgement from the portal.
What happens if a 2026 annual report was missed?
Pennsylvania built a transition period into the new system. Administrative dissolution, cancellation or termination for failure to file begins with annual reports due in 2027. An association that fails to file its 2027 report can become subject to administrative action six months after its deadline.
That transition does not make the 2025 or 2026 reports optional. Businesses should bring missing reports current and keep their registered-office and notification information accurate.
Good Standing in Pennsylvania: Subsistence vs Certificate of Registration
Pennsylvania uses different certificate names depending on where the entity was formed.
| Entity | Official Pennsylvania certificate | Current fee |
|---|---|---|
| Domestic Pennsylvania entity | Subsistence Certificate | $40 |
| Registered foreign entity | Certificate of Registration | $40 |
- Create or use your Business Filing Services login.
- Select Search Business Entities.
- Search the business name and open the correct result.
- Find the appropriate Subsistence/Certificate of Registration option under certified documents.
- Complete checkout and download the document when available.

Pennsylvania Business Name Availability & Reservation
Business Filing Services can help you screen a proposed name, but Pennsylvania treats the online search as a preliminary availability check. Final name approval occurs during filing review.
- Search the exact proposed name.
- Search the strongest distinctive words without LLC, Inc., Company or punctuation.
- Try plural, singular, abbreviation and spacing variations.
- Review close active matches before ordering signs, domains or branding.
- Wait for filing acceptance before treating the name as officially approved.
A Pennsylvania name reservation costs $70 and generally reserves an available association name for 120 days. Fictitious names cannot be reserved because they do not receive exclusive name rights.
Pennsylvania Fictitious Names: Registration & Advertising Rule
Pennsylvania uses the term fictitious name for an assumed business name. An individual, sole proprietorship, partnership, corporation, LLC or other association using a name other than its real or proper name generally must register that fictitious name with the Department of State.
The current registration fee is $70. Registering a fictitious name does not create an LLC or corporation, and it does not give the registrant exclusive ownership of the name.
Pennsylvania says evidence of the advertisements does not need to be submitted to the Bureau, but it should be kept with the business’s records.
Pennsylvania Uses a Registered Office, Not the Usual Registered-Agent Model
This is one of the most important Pennsylvania-specific differences. Pennsylvania requires filing associations to maintain a registered office, but it does not require the public designation of a registered agent in the same way many other states do.
Registered office
The address must be an actual Pennsylvania street address or qualifying rural-route box. A P.O. box alone is not acceptable.
Commercial Registered Office Provider
A business without a suitable Pennsylvania address may contract with a Commercial Registered Office Provider, or CROP, and list that provider instead.
Common Pennsylvania Business Search Problems
| Problem | Best next step |
|---|---|
| No business result | Remove LLC, Inc., Corporation, commas and extra words; search the distinctive root name. |
| Too many similar names | Add another distinctive word or use the exact File Number. |
| You know only the owner | Pennsylvania DOS cannot search by owner/officer name. Find the legal entity name first. |
| Need a complete filing history | Use View Filing History online or request a written record search when a complete official printout is needed. |
| Annual-report deadline passed | File the missing report through BFS. Do not assume a private mailer’s claimed state late fee is legitimate. |
| Need good-standing proof | Order a Subsistence Certificate for a domestic entity or Certificate of Registration for a foreign entity. |
| Need professional-license proof | Use the appropriate Pennsylvania licensing board; DOS entity registration is not professional licensure. |

Yes. Pennsylvania Business Filing Services provides free online entity lookup. Paid fees apply to written searches, certificates, copies and filings.

Use the official Business Filing Services Business Search at file.dos.pa.gov/search/business. Search by business name or Entity/File Number.

No. Pennsylvania DOS says business records are accessed by correct entity name or entity number, not by officer or owner’s name.
4. What is the difference between a Pennsylvania Entity Number and File Number?
Entity Number is the legacy PennFile term. Business Filing Services now uses File Number. Older records may still refer to the same identifier as the Entity Number.
5. How much is the Pennsylvania annual report?
The current fee is $7 for covered for-profit entities. Nonprofit corporations and qualifying not-for-profit LLCs or limited partnerships file for $0.
6. When is the Pennsylvania annual report due?

7. Is there a Pennsylvania late fee for missing the annual-report deadline?
The Pennsylvania Department of State’s 2026 scam guidance says there is no state late fee merely for filing the ordinary annual report after its deadline. Businesses should still file missing reports promptly.
8. What does Pennsylvania call a Certificate of Good Standing?
For domestic filing entities, Pennsylvania generally calls it a Subsistence Certificate. Registered foreign associations use a Certificate of Registration. The current fee is $40.
9. Does Pennsylvania require a registered agent?
Pennsylvania requires a registered office rather than the same public registered-agent designation used by many states. A business may use a Pennsylvania street address or contract with a Commercial Registered Office Provider.
10. Does a Pennsylvania DOS record prove a business is licensed or trustworthy?
No. The DOS database mainly shows entity filing information. Professional licenses, taxes, permits, insurance, complaints and other compliance matters may require separate verification.
